These Terms of Service (“Terms”) govern your access to and use of Morphic, Inc.’s services, including our website, platform, applications, tools, and any related services (collectively, the “Service”). By using Morphic, you agree to be bound by these Terms and our Privacy Policy.

These terms and conditions outline the rules and regulations for the (i) the website located at Morphic and its subdomains (collectively, the “Website”), (ii) any mobile application(s) that we offer subject to these Terms of Service (each, an “Application”), and (iii) the services, content, and other resources available on or enabled via our Website or any Application, including our generative artificial intelligence platform used to create videos from the images, texts, and other content you upload onto the platform (collectively, with our Applications and Website, the “Service”).

By accessing this website we assume you accept these terms and conditions. Do not continue to use Morphic if you do not agree to take all of the terms and conditions stated on this page.

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and all Agreements: "Client", "You" and "Your" refers to you, the person log on this website and compliant to the Company's terms and conditions. "The Company", "Ourselves", "We", "Our" and "Us", refers to our Company. "Party", "Parties", or "Us", refers to both the Client and ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client's needs in respect of provision of the Company's stated services, in accordance with and subject to, prevailing law of us. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

Service Availability and Quality

We are continually improving the Services to enhance user experience. The Services are subject to change, including but not limited to modifications in features, algorithms, and content generation capabilities. We do not guarantee the quality, stability, uptime, or reliability of the Services. You are solely responsible for any dependencies you create on the Services or the Assets generated.

The Services and Assets are provided on an "AS IS" basis, without warranties or conditions of any kind, either express or implied, including but not limited to warranties of title, non-infringement, merchantability, or fitness for a particular purpose. You assume all risks associated with your use of the Services.

Morphic reserves the right to suspend or terminate your access to the Services at any time, for any reason. You may not use the Services to develop or offer competing products or services, reverse engineer the Services or Assets, use automated tools to access or interact with the Services, or resell or redistribute the Services.

You may not use the Services to infringe upon the intellectual property rights of others. Violations may result in legal action or permanent bans from the Services.

We reserve the right to investigate complaints or reported violations of this Agreement and to take appropriate action, including reporting suspected unlawful activity to law enforcement and disclosing necessary information.

Age Requirements

By accessing the Services, you confirm that you are at least 13 years old and meet the minimum age of digital consent in your country. If you are under the age of majority, your parent or guardian must agree to these Terms on your behalf.

If you are a parent or legal guardian permitting your child to use the Services, you agree to be bound by these Terms and are responsible for your child's activity on the Services.

Morphic strives to maintain a family-friendly environment, but the nature of AI-generated content means that we cannot guarantee the suitability of all Assets.

Your Information

By using the Services, you may provide Morphic with personal information such as your email address, username, billing information, Inputs, and any content you upload. Our Privacy Policy, available here, explains how we handle your data.

Content Guidelines and Restrictions

When using our Service, including our generative AI platform, you agree not to:

Generate, create, upload, or share explicit sexual content, pornography, or any content depicting nudity in a sexualized context.

Morphic reserves the right to review any content generated using our Service and to remove content that violates these guidelines. Repeated or severe violations may result in suspension or termination of your account. Morphic also reserves the right to report illegal content to appropriate authorities.

Content Rights

You own all Assets you create with the Services to the fullest extent permitted by applicable law, subject to the following exceptions:

• Your ownership is subject to any obligations imposed by this Agreement and the rights of any third parties.
• If you are a company or an employee of a company with more than $1,000,000 USD in annual revenue, you must subscribe to a "Pro" or "Enterprise" plan to own your Assets.
• If you are on free account, you cannot use generated assets for commercial purpose.
• If you modify or enhance images created by others, the original creators retain ownership of the underlying Assets.
• You are responsible for ensuring that your Content does not violate any laws or this Agreement and that you have all necessary rights and permissions.

Please consult Your own lawyer if You want more information about the state of current intellectual property law in Your jurisdiction. Your ownership of the Assets you created persists even if in subsequent months You downgrade or cancel Your membership.

Inputs, Assets, and other content such as messages, photos, videos, and documents that you may provide to the Services (such as through uploading, posting, sharing, or chat messages) are collectively, “Content”. You are responsible for all Content that you provide or generate, including ensuring that it does not violate any applicable laws or this Agreement, and that you have all necessary rights and permissions to provide the Content.

Morphic does not use any user data, including Your Content or Generated Content, to train it's models.

Payment and Billing

Payments for the Services may be processed through third-party providers, whose terms will govern in case of conflict regarding payment processing. You may cancel your subscription at any time. We reserve the right to terminate your access for violations of this Agreement. No refunds will be issued for the current subscription period upon cancellation.

Limitation of Liability and Indemnity

We provide the Services "as is" without warranties. We are not liable for any indirect, incidental, special, consequential, or exemplary damages. Our total liability under this Agreement will not exceed the amount you paid for the Services in the 12 months preceding the claim.

You agree to indemnify and hold harmless Morphic and its affiliates from any claims arising out of your use of the Services or violation of this Agreement.
